Consumer Terms of Service

1. Agreement to these terms

These Consumer Terms of Service (the “Terms”) form a binding agreement between you and NIKA and govern your personal, individual use of NIKA’s consumer products, websites, and services (together, the “Services”). By creating an account, downloading our apps, or otherwise using the Services, you agree to these Terms.

If you are using the Services on behalf of an organization, your organization’s commercial agreement with NIKA applies instead of these consumer Terms. If you do not agree to these Terms, do not use the Services.

2. Who can use the Services

You must be at least 18 years old, or the age of majority where you live, to use the Services. By using the Services you confirm that you meet this requirement, that the information you provide is accurate, and that you are not barred from using the Services under any applicable law.

3. Your account

You are responsible for the activity that happens under your account and for keeping your login credentials secure. Please use a strong, unique password and let us know promptly if you believe your account has been accessed without your permission. You may not share your account or let others use it.

4. The Services

NIKA provides AI-assisted analysis tools that can read files and data you provide, work with location and other information, and generate reports, visualizations, and answers. We are continually improving the Services, and we may add, change, or remove features over time.

Some features depend on third-party data sources, connectors, or models. Availability of those features may change, and they may be subject to additional terms from the relevant provider.

5. Acceptable use

You agree to use the Services responsibly and lawfully. In particular, you will not:

• Use the Services to break the law or infringe anyone’s rights, including intellectual property or privacy rights.
• Upload content you do not have the right to use, or data about other people without a lawful basis.
• Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Services or related systems.
• Use the Services to generate or distribute harmful, deceptive, harassing, or unlawful material.
• Resell, sublicense, or build a competing product using the Services, except as expressly permitted.
• Remove or bypass usage limits, security controls, or rate limits.

We may suspend or limit access if we reasonably believe you are violating these Terms or putting the Services or other users at risk.

6. Your content — inputs and outputs

“Inputs” are the files, prompts, and data you provide to the Services. “Outputs” are the content the Services generate in response. As between you and NIKA, you keep ownership of your Inputs, and we assign to you whatever rights we have in the Outputs generated for you, to the extent permitted by law.

You are responsible for your Inputs and for how you use Outputs. You grant NIKA a limited license to use your Inputs and Outputs only as needed to operate, secure, and support the Services. We do not use your personal content to train our models by default; where we offer model improvement, it is described in our Privacy Policy and subject to your choices.

7. Use of AI outputs

The Services use machine learning and can make mistakes. Outputs may be inaccurate, incomplete, or out of date, and similar requests may produce different results. Outputs are not professional advice — legal, financial, medical, engineering, or otherwise — and you should independently review and verify anything you rely on. You are responsible for decisions you make based on Outputs.

8. Privacy

Our Privacy Policy explains what information we collect, how we use it, and the choices you have. By using the Services, you acknowledge that information will be handled as described there. Please contact us if you have questions about your data.

9. Plans, fees, and billing

Some Services are offered for a fee. If you buy a paid plan, you agree to the prices and billing terms presented at checkout, including any recurring subscription charges, which renew until you cancel. Taxes may apply. Except where required by law, fees are non-refundable. You can manage or cancel a subscription from your account settings; cancellation takes effect at the end of the current billing period.

10. Third-party services and data

The Services may connect to third-party tools, data providers, and content. We are not responsible for third-party services, and your use of them may be governed by their own terms and privacy practices. Third-party data and imagery may be subject to licensing restrictions that you must follow.

11. Our intellectual property

NIKA and our licensors own the Services, including the software, models, designs, and brand features such as the NIKA name and logo. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Services in line with these Terms. We reserve all rights not expressly granted.

12. Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that Outputs will be accurate or reliable.

13. Limitation of liability

To the maximum extent permitted by law, NIKA and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Services in the twelve months before the claim, or US$100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You agree to defend and indemnify NIKA against claims, losses, and expenses arising from your Inputs, your use of the Services, or your violation of these Terms or of applicable law, except to the extent the claim results from NIKA’s own breach of these Terms.

15. Suspension and termination

You may stop using the Services at any time. We may suspend or end your access if you violate these Terms, if required by law, or if we discontinue the Services. When your access ends, the sections of these Terms that by their nature should survive — such as ownership, disclaimers, and limitation of liability — will continue to apply.

16. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to let you know, such as posting a notice or updating the date below. Your continued use of the Services after changes take effect means you accept the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws that apply at NIKA’s principal place of business, without regard to conflict-of-laws rules. We hope to resolve any dispute informally first — please contact us so we can try to help. Where permitted, you and NIKA agree to resolve disputes in the courts located at NIKA’s principal place of business, subject to any rights you have under local consumer-protection law.
